These Terms of Service (“Terms”) govern your access to and use of Nex, operated by XONE Holdings, Inc., a Delaware corporation (“Nex,” “we,” “our,” or “us”).

By accessing or using Nex, you agree to these Terms.

1. Eligibility

You must be at least 18 years old to use Nex independently.

If you are between the ages of 13 and 17 (“Teen Users”), you may use Nex only with the consent and supervision of a parent or legal guardian.

By permitting a Teen User to access or use Nex, the parent or legal guardian agrees to:

  • These Terms on behalf of the Teen User
  • Supervise the Teen User's use of the service
  • Be responsible for all activity conducted under the account

Nex is not intended for children under the age of 13, and individuals under 13 are not permitted to use the service.

We do not knowingly allow users under 13 to create accounts or provide personal information.

2. Description of Service

Nex provides tools designed to help users understand, track, and manage their finances.

This may include:

  • Spending insights
  • Budgeting tools
  • Financial summaries
  • Data organization and visualization

Nex is a technology platform and not a bank, financial institution, broker, or financial advisor.

3. No Financial, Investment, or Legal Advice

All content, insights, and information provided by Nex are for informational purposes only.

Nex does not provide:

  • Financial advice
  • Investment recommendations
  • Tax advice
  • Legal advice

You are solely responsible for your financial decisions.

4. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • Ensuring the accuracy of information you provide
  • All activity that occurs under your account

You agree to notify us promptly of any unauthorized use of your account.

5. Financial Data and Third-Party Integrations

If you choose to connect external financial accounts:

  • Data may be accessed through secure third-party providers (such as Plaid or similar services)
  • You authorize Nex to retrieve and process this data on your behalf

Nex does not store your banking credentials.

Third-party services are governed by their own terms and privacy policies, and Nex is not responsible for their practices.

6. Acceptable Use

You agree not to:

  • Use Nex for unlawful, fraudulent, or misleading purposes
  • Interfere with or disrupt the platform
  • Attempt to gain unauthorized access to systems or data
  • Reverse engineer or exploit any part of the service

7. Service Availability

We aim to provide a reliable and high-quality service.

However, Nex does not guarantee:

  • Continuous or uninterrupted availability
  • Error-free operation
  • Immediate access at all times

We may modify, update, or discontinue features at any time.

8. Intellectual Property

All content, software, design, branding, and technology associated with Nex are owned by or licensed to XONE Holdings, Inc.

You may not copy, reproduce, distribute, or create derivative works without prior written permission.

9. Limitation of Liability

To the fullest extent permitted by law, Nex and XONE Holdings, Inc. shall not be liable for:

  • Financial losses
  • Investment or spending outcomes
  • Decisions made based on Nex insights
  • Data inaccuracies from third-party providers
  • Service interruptions or technical issues

Your use of Nex is at your own risk.

10. Disclaimer of Warranties

Nex is provided “as is” and “as available.”

We make no warranties regarding:

  • Accuracy or completeness of financial insights
  • Reliability of third-party data
  • Suitability for any particular purpose

11. Indemnification

You agree to indemnify and hold harmless XONE Holdings, Inc. from any claims, damages, or liabilities arising from:

  • Your use of Nex
  • Your violation of these Terms
  • Misuse of the service

12. Termination

We may suspend or terminate your access if:

  • You violate these Terms
  • Misuse or abuse is detected
  • Required by law or regulatory obligations

You may stop using Nex at any time.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14. Dispute Resolution

In the event of a dispute:

  • We encourage resolution through good-faith negotiation first
  • If unresolved, disputes may be resolved through binding arbitration, where permitted by law.

15. Changes to These Terms

We may update these Terms from time to time.

Updates will be posted with a revised “Last Updated” date.

Your continued use of Nex constitutes acceptance of the updated Terms.
